Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to the VAS School Management System (“Service”) operated by Vector Automation Systems Ltd (“VAS”, “we”, “us”), a company incorporated in the Republic of Kenya. By registering a school, creating a user account, or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the educational institution you represent.

2. The Service

The Service provides cloud-based tools for school administration including student and staff records, attendance, assessments, timetabling, parent communication, fee management, and related features. We may modify features with reasonable notice. The Service is provided on a subscription basis as described on our pricing page.

3. Accounts & school tenants

Each school operates as a separate tenant. The person who registers a school becomes the initial school administrator until changed. New schools may require platform approval before activation. You are responsible for safeguarding credentials, invite codes, and QR join links. You must ensure users are authorised to access personal data under applicable law, including the Kenya Data Protection Act, 2019 and, where relevant, laws of Uganda, Tanzania, Rwanda, or other jurisdictions in which your school operates.

4. Acceptable use

You agree not to:

• Upload unlawful, defamatory, or infringing content;
• Attempt unauthorised access to other schools' data or platform systems;
• Reverse engineer or scrape the Service except as permitted by law;
• Use the Service to process data you are not legally entitled to hold (e.g. minors' data without lawful basis).

5. Fees & payment

Paid plans are billed in Kenyan Shillings unless otherwise agreed. Manual payments via M-PESA Paybill or bank transfer require verification by VAS before activation. Prices exclude VAT and other taxes unless stated. Failure to pay may result in suspension.

6. Data & privacy

Our Privacy Policy describes how we process personal data. Schools act as data controllers for learner and staff information; VAS acts as a data processor where applicable.

7. Limitation of liability

To the maximum extent permitted by Kenyan law, VAS shall not be liable for indirect, consequential, or punitive damages, or loss of profits, arising from use of the Service. Our aggregate liability for any claim shall not exceed fees paid by you in the twelve (12) months preceding the claim. Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

8. Governing law

These Terms are governed by the laws of Kenya. Disputes shall be subject to the exclusive jurisdiction of courts in Nairobi, Kenya, without prejudice to mandatory consumer protections in your country of residence where applicable.
